These general terms and conditions (the "Terms") govern all sales of Alpine Labs products by Nevendi Sàrl, Montreux, Switzerland ("Nevendi"), to professional customers (the "Customer"). Alpine Labs is a brand operated by Nevendi.
They apply exclusively to companies and self-employed professionals buying for resale or professional use, not to consumers. The Customer's own terms apply only if Nevendi has accepted them in writing.
Orders are placed in the Alpine Labs professional ordering area. Access is granted after review of an application. Nevendi may accept or refuse an application without giving reasons.
The Customer keeps its company details up to date and keeps its login details confidential. Nevendi may suspend an account in the event of a breach of these Terms.
The contract is concluded when Nevendi confirms the order by email. Nevendi may refuse or cancel an order in whole or in part, in particular if a product is unavailable or if a price was displayed in error. Any amount already paid for the cancelled part is refunded.
There is no minimum order. A small order fee may apply below a certain amount. It is shown before the order is placed.
Professional prices are shown in the ordering area once the account has been validated, in CHF or EUR depending on the account. They exclude VAT, which is added at the applicable rate. The price in force on the day of the order applies.
Any retail prices communicated by Nevendi are recommendations only. The Customer sets its resale prices freely.
Payment is made in advance by bank transfer, on the basis of the invoice sent with the order confirmation. The order is prepared and shipped once payment has been received.
Bank charges are borne by the Customer. If payment is not received within 14 days, Nevendi may cancel the order.
Shipping is free of charge and paid for by Nevendi. Delivery times are given for information only. A delay does not entitle the Customer to cancel the order or to claim damages.
Risk passes to the Customer when the goods are handed over to the carrier. Deliveries abroad are cleared through customs by Nevendi. VAT in the country of destination is payable by the Customer under the reverse charge mechanism. Partial deliveries are permitted.
The Customer inspects the goods upon receipt. Visible transport damage should be noted with the carrier upon delivery whenever possible.
Missing items, incorrect products, damaged goods and visible defects must be reported in writing within 8 days of receipt, with the order number and photos. Hidden defects must be reported within 8 days of their discovery, and at the latest before the expiry date shown on the product. Without timely notice, the goods are deemed accepted.
For a justified complaint, Nevendi chooses between replacing the goods, issuing a credit note or refunding the price. Any further claims are excluded, to the extent permitted by law.
Products that conform to the order are not taken back or exchanged. Exceptions require Nevendi's prior written agreement. The goods must then be returned unopened, in their original packaging and in resaleable condition, at the Customer's expense.
Returns resulting from an error by Nevendi are at Nevendi's expense.
The goods remain the property of Nevendi until the price has been paid in full, to the extent permitted by applicable law.
The Customer resells the products in their original, unaltered packaging, with labels and batch numbers intact, and stores them in accordance with the conditions shown on the label.
Resale on third-party marketplaces (in particular Amazon, Cdiscount, eBay or similar platforms) is prohibited without Nevendi's prior written consent. Sales in physical shops and on the Customer's own online shop are permitted.
The products comply with Swiss requirements and with the harmonised European regulatory framework. The Customer is responsible for checking and complying with any additional national requirements in the countries where it sells the products, and only uses claims consistent with the product documentation.
Nevendi grants the Customer a non-exclusive, free and revocable right to use the Alpine Labs name and logos, and the product visuals and texts provided, solely to promote and sell the products. They may not be modified or used in a way that harms the brand. This right ends with the business relationship.
Nevendi is liable only for damage caused intentionally or through gross negligence. Liability for indirect or consequential damage, including lost profit, is excluded. Mandatory statutory liability, in particular under product liability law, remains unaffected.
Personal data are processed in accordance with the Privacy Policy published on this website.
Nevendi may amend these Terms at any time. The version published on this page on the day of the order applies. In the event of any discrepancy between language versions, the French version prevails.
These Terms and all contracts concluded under them are governed by Swiss law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is the registered office of Nevendi Sàrl in Montreux, Switzerland.
